How to cancel or renegotiate an auto-renewing maintenance agreement

Educational only, not legal advice. Your contract's exact wording decides your real deadline.

This is general information for a practice manager who has an equipment maintenance agreement that renews unless notice is given. It is not advice about your contract, your state, or your vendor. It does not describe a legal right to cancel. Some agreements are hard to exit mid-term. Some only let you stop the following term. Some require a specific address and a specific form of writing. The signed wording controls.

Duespan can show a notice-by date from the renewal date and the notice period you type, and it can download an .ics file. It does not send notice, it does not email reminders, and it does not charge a fee. There is no card.

Start with the three ordinary choices

Before the notice-by date, a clinic usually has three choices. Let the agreement renew for another term. Ask the vendor to change the price or the coverage, while you can still send notice if you do not like the answer. Or send notice that you do not want the next term, in the way the contract describes, and keep proof.

Those are business choices. They are available only if the contract gives you a notice window and you are still inside it. If the agreement has no auto-renewal clause, you may simply have an end date and no notice to send. Do not invent a cancellation right that the paper does not give you. If you want to stop during the current term, look for a separate termination clause and the fee it names. If you cannot find one, assume you cannot end the current term early until a lawyer tells you otherwise.

Find the clause and the real date

Read Term, Renewal, Termination, and any amendment. Write the renewal date, whether the term auto-renews, the notice period, and the method of notice. Subtract the notice period from the renewal date in calendar days. That result is the notice-by date in Duespan. Confirm it with the calculator. A renewal of March 1, 2027 with 90 days' notice is December 1, 2026. Use your own dates.

Read the sentence for "received" versus "sent." If notice must be received by the notice-by date, mailing it on that date can be late. Read it for a required address. A letter to the technician who visits the clinic can fail a clause that names a legal department. Read it for "written." A phone call may not count.

If the calculated day is a Saturday or Sunday, Duespan says so and does not move the date. Sending on the Friday before is a cautious step when the contract is silent about weekends. It is not a rule of law that this page is declaring. If the contract has its own weekend rule, follow the contract.

If you want to renegotiate

Ask early enough that "no" still leaves time to send notice. A useful request names the lines you want changed: price, parts exclusions, travel, response time, loaner, or the notice period itself. Attach the coverage list from your checklist so the vendor answers line by line. Ask for the answer in writing.

While you wait, do not let the notice-by date pass on the hope that the conversation will finish. If the new terms are not signed before the notice-by date, you still have to decide whether to send notice under the current agreement. A verbal "we'll work something out" is not a new contract. If you need the current term to end unless the new paper is signed, send the notice the contract requires and say, if you want, that you are willing to sign a replacement if it arrives in time. Whether that sentence has the effect you want is a question for the wording and, if it matters, for a lawyer.

If you want to stop the next term

Follow the method in the contract. Use the address it names. Date the notice. Keep a complete copy, and keep whatever receipt the method produces, such as a certified-mail receipt or the sent mail in your own mailbox. The notice should identify the clinic, the agreement, the equipment if the agreement is for one device, and the renewal date you are addressing. State that you do not intend to renew. Do not add patient information.

On many maintenance agreements, that notice leaves the current term in place until the renewal date and stops the following term. Yours may differ. Do not turn the equipment off or withhold a payment the current term still requires unless the contract or a lawyer says that is the consequence. Stopping payment can be a separate dispute from sending a renewal notice.

Put the renewal date and the notice-by date on the calendar anyway, so someone checks that the vendor's next invoice matches what you think you did. The .ics file is a reminder for you. It is not a copy of the notice you sent.

If the date has passed

Calculate it anyway so you know how late you are. Then ask the vendor, in writing, whether they treat the agreement as renewed and through what date. Keep the reply. If the amount is large or the term is long, take the agreement and the reply to a lawyer. Do not rely on a blog, including this one, to undo a missed notice clause.

Going forward, put the next notice-by date in the app as soon as you know the new renewal date and the notice period. The free account stores the list for the clinic. The calendar download includes 120, 90, 60, and 30 days before the next notice-by date, plus that date and the renewal. That lead time is for your planning. It does not extend the contract's deadline.

Questions managers ask

Does sending notice always end the contract today?

Not as a general rule. On many auto-renewing maintenance agreements, timely notice stops the next term and the current term still runs to the renewal date. Your document can say something else. Read it.

What if the notice-by date has already passed?

The next term may have renewed under the clause you missed. Ask the vendor in writing what they believe the status is, and ask a lawyer if the money or the term is significant. Duespan cannot reopen a deadline the calendar has passed.

Will Duespan send the cancellation for me?

No. Duespan calculates a date and downloads a calendar file. You send notice by the method the contract requires, and you keep your own copy.
